Job Description

Job Title: Senior Contracts Attorney (Attorney III)
Duration: 3+ months
Location: 100% Remote
Shift Schedule: 8-5 PM EST, Mon- Fri
 
Position Summary:
Handles moderately complex legal assignments and projects with little or no supervision. Has substantial interaction with product manager/general manager level executives and external parties. Communicates effectively to senior management. Possesses expertise/focus in commercial transactions.
 
Scope:
Provides legal counsel and is a subject matter expert in commercial transactions.
 
Team Dynamic:
  • Currently a team of 12(1 Manager, 8 Attorneys, 2 Paralegals, and 1 Legal Assistant)
  • This contractor will have direct supervision under 3 attorneys
 
Must have qualifications:
  • Juris Doctorate
  • Active license to practice law in at least one state; Active or Corporate license in state where working
  • Minimum 5 years of legal experience/training
  • Extensive experience drafting and negotiating a broad array of commercial contracts, including sourcing and IT contracts
  • Excellent interpersonal, communication and negotiation skills
  • Sound legal, analytical, problem solving, drafting, and risk assessment skills
  • Productive and efficient
  • Quick thinkers
  • Quick adapter
  • MS Office (specifically, Word, Outlook & Teams)
 
Degrees or certifications required/Years of overall experience required:
  • Practicing JD Law degree- candidates who have practiced 8 years
 
Industry related experience required?
  • No. This contractor does not require industry knowledge, but it would be a bonus if they do.
 
Does this contractor require specific IT contracts experience or sales, marketing, purchasing?
  • General Contracting would definitely be helpful; however, it's more critical if they have IT contract experience as this will be a bulk of the volume of contracts
 
Day to Day responsibility:
  • Primary focus: redlining new transactions coming in; 50% of work will go toward renewal as they are expecting a large volume of renewals
  • Reviewing and negotiating contracts
  • Reviewing Redlines
  • (Corporate sourcing- will take on IT contracts with (software and cloud providers) as well)
  • Impacting the volume: Organic Growth
 
Type of work:
The majority will be IT transactions; low risk; renewals; software license agreements, cloud and proof of concepts; commercial transactions and other lines of business; consulting agreements; HR transactions relating to job boards.
 
Work will be a collaboration via MS Teams
All work that this contractor does will be supervised and a client’s attorney on the team will approve this contractors work.

  • Measured work: Adherence to timeliness, quality against template and training
 
Onboarding process (informal but a lot of information to absorb):
A 2-day onboarding process consisting of: getting familiar with templates and checklists; become aware of client's tolerance; get the benefit of this information beforehand and have an introduction to the team.

Essential Duties & Responsibilities:
  • Analyzes, reviews, drafts, and edits moderately complex commercial transactions for senior attorneys and/or the business, including, but not limited to, the following: cloud contracts, statements of work, professional services agreements, leases, and commission agreements.
  • Researches, investigates, and analyzes statutory and case law.
  • Analyzes complex business issues/matters, assesses legal risk, and makes and presents tactical and strategic recommendations regarding the legal implications of these matters to the business with little or no supervision.
  • Communicates and/or provides counsel to procurement, controllers and general manager level executives and other areas of the business regarding legal questions/matters.
  • Works and partners with these higher levels of management to accomplish business objectives.
  • Manages complex transactions, projects, and/or business matters/issues with little or no supervision.
  • Interacts with individuals outside of the company, such as regulators and outside counsel, in connection with commercial transactions/legal matters/business issues.
  • Extra hours may be required during business peaks or to meet seasonal deadlines.

Physical Requirements / Working Conditions:
  • Typical office environment requiring the use of typical office equipment (e.g., computers, phones, etc.).
  • Computer keyboarding, computer monitor and mouse use including reaching forward, grasping, finger and wrist manipulation, and neck bending and turning; near vision is necessary for computer monitor use.
  • If working in an Emerging Workspace, or similar working arrangement, lifting of laptop equipment, files and/or personal belongings weighing 10 lbs. or less is required.
  • May require long periods of sitting
  • May require prolonged repetitive use of the upper extremities
